TERMS OF AGREEMENT

This Terms of Service Agreement (the "Agreement") is made effective as of March 3, 2024, by and between MVMNT LLC (hereinafter referred to as the "SOLaunch MVMNT"), with its principal place of business located at 31285 Temecula Pkwy, Temecula, CA 92592 and the individual or entity (hereinafter referred to as the "User") identified as having agreed to the terms and conditions set forth in this Agreement.

WHEREAS, SOLaunch MVMNT operates in the Marketing industry and offers a program for free when one of the chosen affiliate links is used, unless the User chooses the annual plan; and

WHEREAS, SOLaunch MVMNT retains the right to cancel the membership for any reason it deems appropriate and deny the free membership to anyone, at any time, at its sole discretion; and 

WHEREAS, SOLaunch MVMNT does not offer refunds for any paid plans for any reason;NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, SOLaunch MVMNT and the User (collectively referred to as the "Parties") agree as follows:

ACCEPTANCE OF TERMS: By accessing or using SOLaunch MVMNT's program or services, the User agrees to be bound by the terms and conditions set forth in this Agreement. If the User does not agree with these terms and conditions, they must cease using SOLaunch MVMNT's program immediately.

FREE MEMBERSHIP: SOLaunch MVMNT offers a free Starter plan to Users who utilize one of the chosen affiliate links. This free membership is subject to the User's compliance with SOLaunch MVMNT's terms and conditions, as specified herein.

LIFETIME PLAN: In addition to the free membership program, SOLaunch MVMNT offers a lifetime plan. By choosing the lifetime plan, the User agrees to pay the designated fees and adhere to the terms and conditions associated with said plan.

CANCELLATION OF MEMBERSHIP: SOLaunch MVMNT reserves the right to cancel the User's free membership for any reason it deems appropriate, without prior notice or explanation.

DENIAL OF MEMBERSHIP: SOLaunch MVMNT retains full discretion in denying the free membership to anyone, at any time, without providing a reason for denial.

DISQUALIFICATION OF MEMBERSHIP: SOLaunch MVMNT will revoke access to any free plan member who falls below the commission threshold required for our free membership. Currently, this is $38 monthly. This commission is generated by the affiliate offer that was used to receive the free membership.

MINIMUM ADVERTISED PRICING: When reselling any of our software, you must adhere to the minimum advertised pricing of each plan. For the A.I. ads manager, you must not publicly resell all of the features for less than $67 a month. This can be combined with any of your other offers.

REFUND POLICY: SOLaunch MVMNT does not offer refunds for any paid plans, including the monthly, annual or lifetime plan, under any circumstances. We will not make exceptions to this policy aside from our Money Back Guarantee for our Visionary Reseller program. If you decide to dispute this charge, or leave us a negative review for this reason, we will submit all documentation to show you were aware of this policy when making the purchase, not limited to the checked box in the order form. We will not be intimidated to change our policy.

MONEY BACK GUARANTEE: 100% of the price of your Visionary Reseller plans (Starter, Plus or Pro) will be returned to you within 7 days if you are not happy with your membership for any reason beyond the exceptions listed here. This offer is not valid for those who sign up for our program intending to sign up to High Level directly. We have made every attempt possible to make this as clear as possible in several places, including a checked box to acknowledge this when signing up on our website. Therefore, we will not do damage to our merchant account processing refunds due to a lack of due diligence by the customer. Only one refund given per customer.

INTELLECTUAL PROPERTY: The User acknowledges and agrees that all rights, title, and interest in any intellectual property related to SOLaunch MVMNT's program or services (including but not limited to trademarks, copyrights, and patents) shall remain the sole property of SOLaunch MVMNT.

LIMITATION OF LIABILITY: In no event shall SOLaunch MVMNT be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the program or services provided. The User expressly agrees that their use of the program is at their sole risk.

GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of the state of Indiana, without regard to its conflicts of laws principles.

ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, or proposals, whether written or oral, with respect to the subject matter hereof.

By continuing to use SOLaunch MVMNT's program or services, the User acknowledges and agrees to be bound by the terms and conditions set forth in this Agreement.

IN WITNESS WHEREOF, the Parties hereto have executed this Terms of Service Agreement as of the date first above written.
